Job Description
Coverage: One Food Group (Pilmico, Abaqa and Gold Coin)
This role will provide support to the General Counsel in the overseeing of the legal aspects of the business. The incumbent will be tasked with the responsibility of safeguarding the Group's reputation by guaranteeing that the Group strictly follows the relevant law and regulations as applicable and shall provide legal advice to management about all relevant issues.
The incumbent will effectively ensure legal conformity and minimize the probability of exposures for the Group by providing accurate and timely counsel as required in a variety of legal topics (labour, partnerships, international ventures, corporate secretarial, corporate finance, tax etc) and shall be responsible for other tasks as is expected of a legal counsel in the areas of contract drafting, legal document preparation, legal research, and answering to internal and external legal queries. The incumbent must be able to conduct work with integrity and responsibility.
The role will involve handling sensitive data and therefore pre-screening / vetting will be required. Any offer will be subject to these background checks.
Duties & Responsibilities:
Providing accurate and timely counsel to executives in a variety of legal topics, including but not limited to legal rights, new and existing laws and regulations. Handle legal queries from the team members across the business;
Deal with complex matters with multiple stakeholders and forces. Collaborate with management to devise efficient defense strategies;
Research and valuate different risk factors regarding business decisions and operations
Apply effective risk management techniques and offer proactive advise on possible legal issues;
Communicate and negotiate with external parties (regulators, external counsel, public authorities etc), creating a relation of trust with relevant stakeholders.
Draft, review and solidify agreements, contracts and other legal documents to ensure the company's full legal rights, preparing legal documents, assisting with due diligence and regulatory applications;
Drafting of new contracts across all business entities, tailoring templates to specific contract needs and ensuring all legal points have been considered. Work with our legal partners to ensure legal templates are kept up to date;
Maintain current knowledge of alterations in legislations. Research and keep up to date with the latest legal changes affecting the Group;
Assist in investigation of legal/compliance matters for the new businesses, explaining the business structure to the local attorneys and obtaining the memorandum, and preparing the appropriate contract drafts based on the investigation;
Specify internal governance policies and regularly monitor compliance. Assist in all aspects of general compliance matters - including without limitation, investigating local laws, preparing policies, supporting roll-out of group-wide policies, and training for business teams regarding, governance, data privacy, anti-corruption, confidentiality, export control and other various areas of corporate compliance;
Assist in corporate filings - including without limitation, preparing various types of resolutions and other corporate-related documents, as needed for compliance with the applicable laws and regulations;
Assist in litigation or dispute resolution;
Assist in setting up of new entities, branch / representative offices;
Qualifications
Required:
Bachelor Degree in Law or Legal Studies or equivalent;
Bar Qualification in any region in Asia Pacific;
Desirable:
Masters of Laws or L.L.M
