SAP is seeking a Legal Counsel to work within its field legal organization in the Asia, Pacific & Japan (APJ) region. Based in the Philippines, you will be a part of the APJ legal team and will provide legal expertise for SAP and its business teams, particularly SAP's sales teams, across the APJ region. <\/p>
<\/p>
This includes finalizing legal aspects of precontractual elements of the sales cycle such as non-disclosure \/ confidentiality agreements, preparation and negotiation of the legal aspects of contracts, working with other legal colleagues in the APJ region as part of an integrated team, and carry out legal functions for other business units\/practice areas such as real estate\/facilities, procurement, marketing and communications.<\/p>
<\/p>
Primary responsibilities include working with SAP's Shared Delivery Hub (SDH) and Commercial Finance teams in their drafting of cloud, license, professional services, and related agreements (focusing on the legal aspects), negotiating agreements, drafting more complex legal language to address customer issues, all while working collaboratively with sales professionals, pricing and revenue recognition teams, and others, in a fast-paced environment to help achieve SAP's business growth strategies and objectives within SAP risk tolerances, and in accordance with SAP policies and applicable laws. <\/p>
<\/p>
The successful candidate will also provide legal advice and counselling on a wide variety of matters, including intellectual property, licensing, data privacy, and license compliance matters, employment issues and other ad-hoc legal advisory matters. Experience in the Cloud (software-as-a-service) \/ Technology \/ IT sector is strongly preferred.
Key to your success as a Legal Counsel will be your ability to:<\/b><\/p>
<\/p>
Draft, redline, and negotiate contractual terms with customers, including cloud, software licensing, professional services agreements, data processing agreements, etc. for SAP's Cloud, Software, and Professional Services business.<\/li>
Work closely with the Internal Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process.<\/li>
Assist the commercial and sales teams with legal escalations relating to the transactions you are working on.<\/li>
Help achieve SAP's business goals and objectives by serving as a true business partner, balancing legal risks appropriately against the commercial objectives.<\/li>
Identify contractual risks and suggest alternatives that lead to optimal solutions. <\/li>
Work with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences.<\/li>
Integrate legal, business, technical, and practical analysis, into the provision of legal advice.<\/li>
Assist in handling various field and corporate legal matters, including but not limited to non-disclosure\/confidentiality agreements, real estate\/facilities, procurement, marketing, privacy, intellectual property rights, and claims management matters.<\/li><\/ul>

Education and Skills: <\/b><\/p>
<\/p>
Tertiary qualifications in Law from an accredited law school<\/li>
Licensed to practice law in the Philippines (passed the Bar exams in the Philippines).<\/li>
4 years of post-qualification legal experience (gained in either a reputable law firm or in-house legal environment), with contract and transactional law background \/ experience in reviewing, drafting and negotiating commercial and\/or technology contracts.<\/li>
Customer-service mindset, with strong written, communication and interpersonal skills with a high attention to detail.<\/li>
Team player with the ability to work collaboratively across multiple teams and communicate in a timely and responsive manner.<\/li>
Excellent\/Fluent written and oral English language skills.<\/li>
Inquisitive and not afraid to ask questions.<\/li>

SAP is seeking a Legal Counsel to work within its field legal organization in the Asia, Pacific & Japan (APJ) region. Based in the Philippines, you will be a part of the APJ legal team and will provide legal expertise for SAP and its business teams, particularly SAP's sales teams, across the APJ region. <\/p>
<\/p>
This includes finalizing legal aspects of precontractual elements of the sales cycle such as non-disclosure \/ confidentiality agreements, preparation and negotiation of the legal aspects of contracts, working with other legal colleagues in the APJ region as part of an integrated team, and carry out legal functions for other business units\/practice areas such as real estate\/facilities, procurement, marketing and communications.<\/p>
<\/p>
Primary responsibilities include working with SAP's Shared Delivery Hub (SDH) and Commercial Finance teams in their drafting of cloud, license, professional services, and related agreements (focusing on the legal aspects), negotiating agreements, drafting more complex legal language to address customer issues, all while working collaboratively with sales professionals, pricing and revenue recognition teams, and others, in a fast-paced environment to help achieve SAP's business growth strategies and objectives within SAP risk tolerances, and in accordance with SAP policies and applicable laws. <\/p>
<\/p>
The successful candidate will also provide legal advice and counselling on a wide variety of matters, including intellectual property, licensing, data privacy, and license compliance matters, employment issues and other ad-hoc legal advisory matters. Experience in the Cloud (software-as-a-service) \/ Technology \/ IT sector is strongly preferred.
Key to your success as a Legal Counsel will be your ability to:<\/b><\/p>
<\/p>
Draft, redline, and negotiate contractual terms with customers, including cloud, software licensing, professional services agreements, data processing agreements, etc. for SAP's Cloud, Software, and Professional Services business.<\/li>
Work closely with the Internal Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process.<\/li>
Assist the commercial and sales teams with legal escalations relating to the transactions you are working on.<\/li>
Help achieve SAP's business goals and objectives by serving as a true business partner, balancing legal risks appropriately against the commercial objectives.<\/li>
Identify contractual risks and suggest alternatives that lead to optimal solutions. <\/li>
Work with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences.<\/li>
Integrate legal, business, technical, and practical analysis, into the provision of legal advice.<\/li>

Tertiary qualifications in Law from an accredited law school<\/li>

4 years of post-qualification legal experience (gained in either a reputable law firm or in-house legal environment), with contract and transactional law background \/ experience in reviewing, drafting and negotiating commercial and\/or technology contracts.<\/li>
