Description
Duties and Responsibilities:
Review and provide legal advice on tender documents
Provide legal protection and risk management advice to management especially on contract management
Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff
Revise contracts, agreements and internal policies. Formulate compliance checklists to be used for the purpose of ensuring that all information required is provided accordingly
Continuously monitor compliance with statutory obligations under attorney supervision and advise management accordingly
Prepare monthly and quarterly reports for the department for executive management meetings
Formulate and review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management's attention
Coordinating and attending board and committee meetings and drafting minutes
Serving as a liaison for directors, officers and shareholders
Directing the activities related to the annual meeting of shareholders
Maintaining key corporate documents and records
Participates actively in company-initiated activities
Undertakes related and other tasks as may be assigned from time to time
Maintain proper records of incoming and outgoing correspondences
Establish, maintain and update files, databases, records and other important documents
Filing and safekeeping of important documents
Provide admin support to staff attorney
Qualifications:
Have knowledge in handling corporate filing in the US
Preferably has working experience in US Legal department and law firms
Experience in working with a US based client
Strong communications skills both written & oral
With experience as Paralegal/Legal Assistant
Candidate must possess at least a Bachelor's/College Degree , any field
Applicants must be willing to work in Muntinlupa
