DUTIES AND RESPONSIBILITIES
1. In-charge of the safe keeping of the department and company's legal or confidential documents.
2. Organize and maintain documents in a paper or electronic filing systems.
3. Maintaining, filing and drafting corporate records, including certificates, resolutions, board of director changes, articles of incorporation, general information sheets, etc.
4. Prepares and records retainer and legal fees of law firms affiliated to the company.
5. In-charge with the gathering and drafting of information and documents necessary for the annual compliance and/or amendments to be submitted to the Securities and Exchange Commission.
6. Maintains and updates pending cases, department's calendar of activities and reports.
7. In-charge with the communication with retained law firms, public prosecutors and lawyers who handle the company's pending cases at Court.
8. Assist the Legal Manager in tasks related to closings and corporate transactions such as mergers, acquisitions, and initial public offerings.
9. Prepares, process and records payments for retainer and legal fees of law firms affiliated to the company.
10. Perform clerical works and other tasks that may be assigned by the Head of the Legal Department.
11. Assists the Head of the Legal Department in the day-to-day requirements of the department.
12. Attends to simple requests from the other department such as provide copies of legal documents.
