The job is based in The Fort, Global City, Philippines.
Job Summary:
This multi-regional / disciplined role will provide key support to the legal function including but not limited to contract management and maintenance, third-party risk management (due diligence), collaborative support with stakeholders from the International business specifically the Asia Pacific region) overseeing and maintaining a business, supply agreements, and other legal documents. The function will also support the company's license to operate, compliance, and secretarial obligations as well as the support in the drafting, negotiating and execution of agreements across the region.
Key job responsibilities include:
Responsible for the distributor agreement, due diligence function for Asia Pacific in close collaboration with the Lead Regional Counsel - International and Company Secretary (VLSIPL) 25% 2
To ensure (where applicable) meetings from Asia Pacific entities such as Board Meetings, Annual General Meeting etc comply statutorily, as well with the organization's governing document and its procedures. Including the preparation of notices, agendas and minutes. 15%
Manage the drafting, vetting, approving, negotiating, settling legal notices, contracts and legal documents for Asia Pacific. 10%
Well versed with the US Foreign Corrupt Practices Act, Trade Regulations and antitrust & anti competition laws
Sound knowledge with Companies Act, 2013, Commercial laws, Labor laws and General laws, secretarial standards and IP / Privacy laws. 10%
Provide a broad spectrum of legal support (not limited to) on general legal advice, employment law matters, general litigation, commercial contracts, competition, personal data, etc. 10%
Maintain sound relationships with the Asia Pacific business across all functions including Commercial, Finance, Supply Chain, Marketing, and Human Resources, and provide regular reporting on all such matters to relevant stakeholders. 10% 7
To play a key role in compliance systems-building, be able to craft and implement policy, critically review and strengthen current processes and systems for Asia Pacific 10% 8
Support the Lead Regional Counsel - International on all various and general legal matters for the ROA region 5% 9. Accomplishing new, different, ad-hoc requests, exploring opportunities to add value to work project
Reviewing various business contracts per request by international regional attorneys and manager
Candidate shall have strong reporting and legal administration skills, a strong emphasis on organization and planning, and attention to detail Excellent command over all aspects of Legal and Company Secretary matters
Should be able to formulate strategies to deal with legal, secretarial, and compliance related matters
