A rare opportunity has come up to join a collegiate in-house team in a leading global technology company. We are looking for a lawyer with 15+ years PQE to join our Philippine legal team.
We are looking for a lawyer with strong commercial and corporate experience gained from a reputable private practice or in-house environment, preferably with a focus on technology
The successful candidate will be responsible primarily for providing legal advice and contracts and negotiations support to the IBM country leadership team in the Philippines, particularly supporting the Country General Manager.
The successful candidate will be providing legal advice and support to IBM businesses in the Philippines, which includes handling corporate secretarial matters and other processes as may be required by IBM from time to time, and serving as IBM's DPO.
The successful candidate will be expected to provide support for compliance and ethics matters as well as regulatory and employment law related matters.
The successful candidate will serve as manager as well as provide coaching and advice to other members of the Philippine legal team.
The successful candidate will perform a customer and vendor facing role.
The successful candidate will perform other legal services and support as the ASEAN Regional Counsel directs.
Managing an executive relationship with the Philippine Country General Manager and other executive members of the Philippine Leadership Team.
Preparing, reviewing, negotiating and advising on all aspects of contracts and its terms. This includes assisting relevant business lines with contract drafting, preparation and responses to proposals, mark-up of contracts and RFP/RFIs, commercial negotiations, contract administration, and developing/updating contract templates for customary third-party engagements.
Providing advice on a broad range of corporate, commercial, corporate secretarial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to IBM.
Providing support to the supply chain/procurement function and IBM global functions (as needed).
Working with various business lines and functions, including IBM's finance, human resources, regulatory and risk management teams, to provide solutions consistent with the IBM's corporate policies.
Ensuring documentation is maintained, and that organizational memory is retained, within the corporate business group.
Providing education on contracts and compliance issues (including local laws, business integrity, ethics, US FCPA, and GDPR).
Handing claims by and against IBM, and assist with the preparation for litigation or arbitration proceedings, including the coordination of efforts by corporate staff and outside counsel. Develops ongoing and future strategies to avoid potentially damaging legal situations regarding product development, marketing strategies, etc. which often involves working closely with internal management teams and IBM counsels representing other countries to ensure appropriate implementation.
Working with various business lines, and IBM's finance, regulatory and risk management teams, to provide solutions consistent with IBM's corporate policies and positions
Required Technical and Professional Expertise
Absolute commitment to business integrity and ethical conduct.
A degree in law and a member of the Philippine Bar.
15+ years legal experience, preferably solid in-house counsel experience with a multi-national corporation or a combination of experience as private practice attorney and as an in-house counsel.
Demonstrated ability to influence contract structure and business decision making for the benefit or advantage of IBM.
Demonstrated success in negotiating large and complex deals in complex situations.
Ability to handle multiple deals/matters concurrently.
Proficiency in written and spoken English.
Experience in international contracting matters.
Previous exposure in IT-related industry is an advantage.
Excellent drafting and negotiations skills.
Ability to give advice with an eye as to the commercials of a matter.
Able to work in an agile, dynamic and fast paced environment, and to meet critical deadlines.
Able to work well both independently and as part of a team.
Able to communicate well and work in a cross-functional team to achieve common goals.
Able to identify and escalate issues timely and appropriately.
