What is the job like?
The Corporate Governance Officer develops sound risk management policies and practices, in coordination with the General Counsel, Chief Compliance Officer or Supervising Lawyer, to ensure that risks associated with Corporate Governance such as strategic, reputational and legal/compliance risks are identified, assessed, monitored, mitigated and controlled; and to effectively implement all laws and regulations within JG Summit Holdings, Inc. (the Company) to ensure that it will be free of regulatory interference.
Major Responsibilities:
Responsible in providing assistance to the General Counsel, Chief Compliance Officer, or Supervising Lawyer on matters involving corporate governance.
Responsible in assisting the General Counsel, Chief Compliance Officer, or Supervising Lawyer for the overall compliance of the company by way of ensuring that all Board of Directors (BOD), Officers and employees are properly equipped with the knowledge and tools on Corporate Governance to safeguard the company from regulatory censure or sanction.
Responsible in assisting the General Counsel, Chief Compliance Officer, or Supervising Lawyer in coordinating with all Corporate Governance Officers of the conglomerate to ensure alignment on the corporate governance activities and compliance program.
Responsible in assisting the General Counsel, Chief Compliance Officer, or Supervising Lawyer in ensuring the continuous operation of the businesses within the conglomerate by handling regulatory requirements and notices involving corporate governance.
Specific Tasks:
Conducts continuous gap analysis and risk assessment on the corporate governance requirements of regulators and the compliance of the company including comparison and integration of international best practices.
Assists the Chief Compliance Officer or Supervising Lawyer in providing regular updates to the BOD and its Committees, officers, and employees on new and amended corporate governance rules and regulations that affect the company and the conglomerate as a whole.
Assists the Chief Compliance Officer or Supervising Lawyer in coordinating and liaising with internal stakeholders and various units within the conglomerate, as well as external entities and regulators to ensure compliance with regulatory requirements (i.e., reports, BOD assessments, training, benchmarking, policy reviews, filling-in of gaps, website, etc.).
Assists the Chief Compliance Officer or Supervising Lawyer in the preparation of the Integrated Annual Corporate Governance Report.
Conducts, organizes and prepares the necessary trainings or materials for the BOD, Officers, and employees of the company and the conglomerate, as necessary, including application for accreditation with SEC and other regulatory bodies.
Coordinates closely with the Office of the Corporate Secretary and various internal and external stakeholders in the preparation of the agenda as well as materials for the BOD and Committee meetings.
Assists the Chief Compliance Officer or Supervising Lawyer in handling corporate governance compliance issues, matters and/or cases including replying internal and external stakeholders, and regulators for any corporate governance referrals.
Managing the corporate governance website of the company with the assistance of the Corporate Affairs Group to ensure maximum adherence with corporate governance best practices locally and internationally including participating in system developments.
Assists the Chief Compliance Officer or Supervising Lawyer in filing of reports to SEC and other regulatory bodies.
Performs other duties and responsibilities that may be assigned by the General Counsel, Chief Compliance Officer, or Supervising Lawyer.
Who are you?
Major in Accounting, Legal Management, any Business or relevant course; Preferably a Lawyer
Knowledgeable in government & regulatory policies & procedures; SEC laws, rules & regulations.
At least two (2) years of experience in corporate governance work, or other relevant experience .
