What are the expected responsibilities?
Provide a full range of legal assistance, advice and services to the Gokongwei Group ("GG") on operational and strategic matters, as part of the Corporate Legal Team of the General Counsel Group, taking into account existing laws, rules and regulations, as well as existing/applicable policies, with a view to protecting the interests of the Conglomerate.
1. End-to-end legal assistance to the GG on operational matters and/or special projects, including but not limited to:
a. Issuance of advice/opinions, provide expert and strategic legal advice with a view to providing proactive solutions to eliminate or mitigate legal risks;
b. Preparation/review of operational agreements including standard templates/contracts and internal policies;
c. Attendance to meetings and/or calls related to any requests for assistance/advice;
d. Assistance on intellectual property and data privacy concerns.
2. End-to-end legal assistance and monitoring of projects, acquisitions, investments/divestments of the GG, including but not limited to:
a. Preparation, review and finalization of transaction documentation;
b. Provide expert and strategic advice on deal structuring, risk assessment and management advice;
c. Ensure all arrangements are responsive and will protect the rights and interests of the GG;
d. Attendance to meetings and/or calls and engage in contract negotiations.
3. Coordinate/liaise with the necessary government agencies, external and internal parties, and/or external counsel in relation to matters being handled.
4. Assist on any other legal matters or concerns of the GG, and perform any other activities necessary for the same.
5. Compliance with the Group and the Company's procedures and policies.
