Job Description
International trade is a trillion-dollar business, with air freight representing -35% of the addressable market. In Southeast Asia alone, the total market size is -US$4B+, with sector growth driven by a once-in-a-generation opportunity; e-commerce penetration. E-commerce fulfillment in itself is already a US$2B+ space, growing 30% per year. As an operator transporting cargo to over
110 airports across Asia, we are at the frontlines of this large, but unsexy space. This white space motivates us to redefine the way the supply chain operates and be the one-stop end-to-end delivery solutions provider.
We are looking for an individual with strong legal knowledge and technical fluency to fill the position of Legal Counsel for Teleport Philippines to be based in Manila, Philippines.
You will be responsible for the legal aspects of the day-to-day operation of the and overall legal compliance of the Company. You will be working in a team in the your local office and group level. This role will be a full-time basis. You will be reporting daily to the Teleport Group General Counsel.
A DAY IN A LIFE
As a start-up, you can expect your days to be pretty varied. Multitasking is normal, and sometimes, your skills or natural talents will be leveraged to support other business priorities. That said, the bulk of your working hours should involve you having to:
drafting and reviewing various agreements and legal documentations;
provide practical legal advice for the company operations and business arrangements;
provide advice regarding any dispute resolution matters, regulatory or compliance matters, licensing considerations, corporate structures, and etc.;
liaising and managing external counsels as and when required; Understand how our business is conducted across the various markets to have context on the purpose of our various agreements; review like-for-like agreements to understand the variation in terms within each; re-draft / re-edit such agreements to arrive at boilerplate terms that we can in future, incorporate to speed up execution;
For supplementary agreements that do not exist, help us drafting contract templates that can be utilized across various jurisdictions i.e. so that jurisdictional matters are incorporated into common terms;
Identify best practice contract structures we can reference;
With case by case contract matters that may arise, for example - disputes, terminations, ad-hoc engagements, letters of demand, tenders;
Manage internal governance document reviews, such as board papers, contract checklists or related-party documents;
monitor any updates on the laws and regulations relevant to the business;
liaising and dealing with any government agencies and regulatory bodies; and
support other functions or teams in the day to day operations of the Company.
We operate in many jurisdictions across ASEAN and Asia, and it gets complicated quickly, to say the least. Foreign investment considerations, fund flow restrictions, tax, regulatory compliance, and licensing considerations plague us, so how we organize and structure Teleport at the very start will determine how easy we make it to do business regionally, going forward. We need your help to:
Liaise with external counsel to ensure we have the best information at our finger tips to make wide-ranging strategic decisions;
Ask the right questions to get to simple, and elegant solutions, where possible;
Collect, think through, and review relevant information to understand how we should approach legally structuring our business;
Figure out the fastest ways for us to procure the relevant licenses and documentation required to do business in jurisdictions of importance;
Simultaneously, we are trying to create a new logistics business model through digitization and deploying edge technology. We need your wits to help us:
Research and think through the legal implications of technology we intend to deploy, such as programmatic exchanges, blockchain and smart contracts;
Protect our intellectual property (IP) from all the sharks out there;
Provide advice on other subject-matter experts we may need to bring to the table to protect our interests;
At the onset, you may be culture-shocked working in AirAsia and with the Teleport team. To help you adapt better, we would like to share our beliefs on leadership. Put simply, you are a leader, we all are leaders and good leaders:

QUALIFICATIONS & EXPERIENCE
Philippines Nationality
has a degree in law with experience in general corporate and commercial legal matters, and accredited to bar association in your preferred country from the list of openings
min 3 to 6 years of working experience with reputable law firms
experience and knowledge of Data Protection is advantageous and earns you automatic brownie points. You may be required to double hat as the Data Protection Officer of the Company. experience in corporate commercial practices will be highly considered
experience and knowledge of logistics is advantageous but not compulsory.
experience and knowledge of company secretarial functions is advantageous but not compulsory.
has competent leadership and management skills
fluent in English and local language
has excellent communication (orally and in writing) and interpersonal skills
