SAP is seeking a Legal Counsel/Sr Legal Counsel to work within its field legal organization in the Asia, Pacific & Japan ("APJ") region. Based in the Philippines, you will be a part of the APJ legal team and will provide legal expertise for SAP and its business teams, particularly SAP's sales teams, across the region.
This includes finalizing legal aspects of precontractual elements of the sales cycle such as Non-Disclosure Agreements, preparation and negotiation of the legal aspects of the contracts, working with other legal colleagues in the APJ region as part of an integrated team, and carry out legal functions for other business units/practice areas such as bid management, facilities, bankruptcy, procurement, and marketing.
Primary responsibilities include working with SAP's Centralized Deal Support ("CDS") and Commercial Finance teams in their drafting of cloud, license, service, and related agreements (focusing on the legal aspects), negotiating agreements, drafting more complex legal language to address customer issues, all while working collaboratively with sales and services professionals, pricing and revenue recognition teams, and others, in a fast-paced environment to help achieve SAP's business growth strategies and objectives within SAP risk tolerances, while maintaining SAP policies and complying with applicable laws. You will act as an initial prime legal contact for the relevant CDS teams and, where applicable, the sales and related business teams located in the country where the end customer is located.
You will also provide legal advice and counselling on a wide variety of matters, including intellectual property, licensing, data privacy, and license compliance matters. Experience in the Cloud (software-as-a-service) sector is strongly preferred.
Key to your success as a Legal Counsel / Senior Legal Counsel will be your ability to:
Assist with the structuring of complex transactions.
Draft, redline, and negotiate complex terms and agreements with customers, including cloud, software licensing, professional services agreements, data processing agreements, etc. for SAP's Cloud, Software, and Services business.
Work closely with the Internal Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process.
Assist the commercial and sales teams with legal escalations relating to the transactions you are working on.
Help achieve SAP's business goals and objectives by serving as a true business partner, balancing legal risks appropriately against the commercial objectives.
Identify contractual risks and suggest alternatives that lead to optimal solutions.
Work with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences.
Integrate legal, business, technical, and practical analysis, and a high level of motivation, are essential.
Assist in handling various field and corporate legal matters, including but not limited to, facilities, procurement, marketing, bid management, bankruptcy, privacy, intellectual property rights, and claims management.
Assist with special projects as assigned.
Education and Skills - All T Levels
Graduation from accredited law school
Licensed to practice law in the Philippines (passed the Bar exams in the Philippines).
Preference is experience and expertise in negotiating key terms for Cloud Agreements, such as data protection, data analysis, security, compliance/regulatory, limitation of liability terms, etc.
Strong relationship-building, leadership and communications skills, both written and oral in the specified language(s).
Excellent/Fluent written and oral English; in addition, excellent/fluent written and oral Indonesian, Japanese, or Korean language competency would enhance your candidacy.
You think critically, identify issues quickly, and think in the alternative examining multiple aspects and perspectives.
You are creative and demonstrate the ability to "think outside of the box", meaning that you know when to adhere to established guidelines but you are able question established practices by suggesting new approaches that further the objectives and goals of the Company within our risk and compliance framework.
Legal Counsel (T2) Specific:
Successfully completed an initial experience providing legal services, preferably in a reputable law firm.
You will work under supervision, but you are self-driven and self-organizing.
You are results oriented and will be responsible for the delivery of client outcomes for projects and matters assigned to you.
You build collaborative work relationships within the SAP Legal team and with similar functions across SAP and communicate in a timely manner.
Senior Legal Counsel (T3) Specific:
Appropriate legal experience in applicable areas of the law and possess solid functional skills.
Advanced legal skills with special knowledge in one or several areas of law. You have a track record of taking on increasing amounts of responsibility.
You will provide senior legal services and be responsible for the delivery of client outcomes for projects and matters within your area of responsibility.
You may be asked to lead virtual team projects or provide supervision and coaching to peers and colleagues both within SAP Legal and in cross-functional projects.
You are self-driven and self-organizing, working independently on topics while setting priorities.
You stand accountable for your area of responsibility, take decisions and provide solutions that enhance the future design and strategy of the team and business,
You build and maintain collaborative relationships with peers, internal clients, and external customers and communicate clearly conveying processes, policies, and advice in a manner that others can easily understand both in terms of the rationale used and the consequences of proposed solutions.
You communicate in a timely manner and provide constructive feedback to cross-functional colleagues and managers.
You are able to communicate advice and deliver customer outcomes in a timely and succinct manner to executive business clients as well as to executives within SAP Legal and our Executive Board area.
