We are looking for a highly qualified Legal Consultant to support the in-house legal counsel in specific legal areas like banking regulations and key functions such as compliance. You will safeguard our reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues. The successful candidate will effectively ensure legal conformity and minimize probability of exposure.
Responsibilities
Draft and negotiate legal documents like SAFTs and SAFEs in preparation for capital raising activities for several companies
Corporate restructuring of an offshore company and of a decentralized autonomous organization (DAO) within an international context
Review of contracts and other legal documents or communications and audit of existing ones
Assist on compliance and government license applications with the SEC, BSP, etc.
Legal research on special projects such as those involving intellectual property law and securities or investment law
Monitor key regulatory developments in such areas (Philippines and other key jurisdictions like the US) both for proactive crisis management and commercial opportunities on the drafting and creation of policies in compliance, marketing and communications review, data protection, AML and due diligence processes
Corporate housekeeping of various legal entities (Philippines and other jurisdictions) by auditing, maintaining and tracking records and files like board resolutions and agreements
Creation of crisis and contingency plans in anticipation of regulatory scrutiny or future litigation and disputes
Draft and negotiate employment agreements and assist in human resource functions
Help in the audit of marketing materials and communications for possible clean up and de-risking
Attend meetings or calls with the in-house counsel with the founders as needed
Requirements
At least 1-2 years relative work experience
Excellent knowledge and understanding of global and corporate law and procedures
Full comprehension of the influences of the external environment of a corporation
Demonstrated ability to create legal defensive or proactive strategies
High degree of professional ethics and integrity
Sound judgement and ability to analyse situations and information
