JOB SUMMARY:
Generally handles the legal aspect of the Bank as a corporate entity, the maintenance of the good corporate standing of the Bank, and compliance and adherence with the good corporate governance laws, rules and practices of the Bangko Sentral ng Pilipinas (BSP) and the Securities and Exchange Commission (SEC). It handles all issues relating to corporate practice (business structures and registration) and corporate governance matters.
Has the duty to ensure that the members of the Board and Advisers have before them complete, adequate and timely information that will enable them to make judicious decisions and discharge their fiduciary duty for the best interest of the Bank and in a manner characterized by transparency, accountability and fairness. It also ensures that all Board procedures, rules and regulations are strictly followed.
Has custody of the official charter and related documents, and records the proceedings of meetings of the stockholders, the Boards of Directors and committees of the Bank and its subsidiaries. The CORSEC is responsible for the safekeeping and preservation of the integrity of the minutes of the meetings of the Board and its committees, as well as all other official records of the Bank. It also provides legal services, which include legal advisories, opinions, letters to their internal clients and to the Office of the President of the Republic of the Philippines (OP), Governance Commission on GOCCs (GCG), Philippine Deposit Insurance (PDIC), Department of Finance (DOF), Bangko Sentral ng Pilipinas (BSP) and the Securities and Exchange Commission (SEC), and other government agencies, legal representation/ liaison in various fora, and handling of complaints and claims related to the stockholders and directors in the sequestration cases.
As the focal point of communication with and between the Board of Directors, Advisers, senior management, and the Bank's shareholders, the CORSEC has a key role in the administration of the Board, critical corporate matters and serves as an adviser to the director's responsibilities and obligations. Moreover, as a confidante and counsellor to the Board, President & CEO, Advisers and members of senior management, the CORSEC is expected to maintain absolute confidentiality on all matters discussed during meetings.
Also monitors and reports the development of the cases and issues on sequestration and ownership, rehabilitation/ recapitalization, corporate authorizations, and those which have an impact on the Bank as a corporate entity and recommends the necessary actions. It keeps records of the cocolevy matters, sequestration cases, rehabilitation, recapitalization, and other related documents.
It maintains active linkages with the Office of the President of the Philippines, Governance Commission on GOCCs (GCG), Philippine Deposit Insurance (PDIC), Department of Finance, Securities and Exchange Commission, House of Representative, and the Senate on corporate matters, cocolevy issues, sequestration cases and related matters.
The Corporate Secretary and Assistant Corporate Secretaries, as officers appointed by the Board of Directors, shall report to and are accountable to the Board of Directors. In addition to the duties and functions specified in the By-Laws of the Bank, they shall perform such other functions and duties and exercise such other powers as may be prescribed by the Board of Directors, the Chairman of the Board of Directors and the President and Chief Executive Officer of the Bank.
As the Department Head of the Corporate Secretary Department, she is the administrative leader of the unit and the Assistant Corporate Secretary of the Bank. She is accountable for the effective and efficient execution of the functions, policies, goals and plans of the unit.
QUALIFICATIONS:
Candidate must possess at least a Bachelor's/College Degree, Professional License (Passed Board/Bar/Professional License Exam), Law or equivalent.
At least 2 years legal experience w/ 1 year experience at managerial level
Effective and correct verbal, interpersonal, and written communication skills
Ability to read, analyze and interpret documents.
Interviews properly - regards relevant information, appropriate communication techniques, ensures common understanding of information and future actions
Ability to document - using effective form and structures, regards parties, circumstances, good practices, principles of simple and straightforward language, and relevant law, drafts effective and enforceable documents
Represents client in relevant fora
