I. JOB SUMMARY:
The in-house Corporate Legal Counsel oversees and manages the provisions of all legal services of Flexi Finance Asia Inc to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law. Provides strategic guidance, consultation, and support to the top management of Flexi Finance Asia Inc and other members of the upper management on a comprehensive range of legal and associated issues involved in carrying out the mission of the organization.
II. DUTIES AND RESPONSIBILITIES
Provides legal counsel and guidance to the officers of the organization and other upper management on all legal matters.
Leads the team of in-house legal counsel in providing legal service and advice to the management team and other upper management of the organization.
Closely coordinate with the team of in-house legal counsels as regards all other functions of the Legal Division.
Corporate housekeeping; filling and monitoring of regular compliance submissions, corporate governance, and requirements before the Securities and Exchange Commission (SEC).
Coordinate and correspond on behalf/of the Company with relevant government agencies such as the Securities and Exchange Commission (SEC), Department of Trade and Industries (DTI), and the Bureau of Internal Revenue (BIR) and attend to the compliance requirements of the company.
Facilitating all legal documentation of the Company regarding matters affecting the organization and or the divisions of the organization.
Prepare legal documents including pleadings, petitions, motions, affidavit, and memoranda to be filed with judicial courts, quasi-judicial bodies, government agencies, and instrumental bodies.
Prepare, draft and review commercial and/or corporate documents by and of the Company including contracts, board resolutions, articles of incorporation, and by-laws of the Company.
Provides opinions, memorandum, counsel, and advice to the Management, and give recommendations for its consideration on corporate legal matters.
Notarize legal documents such as contracts and affidavits.
Ensure the company’s legal compliance to corporate law, rules, and regulations.
Monitors cases as may be assigned.
Manage organized filling of corporate legal documents.
Other related duties as may be from time to time.
III. QUALIFICATIONS
Member of the Philippine Bar
Must have good written and oral communication skills
Minimum of five years of professional experience in a law firm or legal department
Efficient and timely management of the entrusted cases
Motivation and orientation towards achieving the objectives
In-depth knowledge of civil law, economic and civil procedure, and criminal law
Experience in participation in proceedings before administrative authorities and before courts
